Terms of Service

These Terms of Service ("Terms") are an agreement between RiparianAi Inc. ("Riparian," "we," "us") and you or the organization you represent ("you"). They govern your use of the riparian.ai website and the Riparian application at app.riparian.ai (together, the "Service").
1. Agreement to these Terms
By creating an account, clicking to accept these Terms, or using the Service, you agree to be bound by them. If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to the entity. If you do not agree, do not use the Service.
2. The Service
Riparian is an engineering workspace for hardware teams: project and task management, wikis and documents, an interactive viewer for uploaded PCB design files, bill-of-materials and sourcing tools, design reviews, manufacturing release documentation, and an AI assistant that operates over your workspace data. The Service is provided as a web application; features may be added, changed, or removed over time.
Riparian is not an ECAD tool and does not modify your designs. It reads and displays design data you upload; design authoring stays in your own tools.
3. Eligibility and accounts
- You must be at least 18 years old and using the Service for business purposes.
- You are responsible for your account credentials and for all activity under your account. Keep your password secure and enable two-factor authentication where appropriate.
- Organization owners and admins control membership, roles, and project access within their organization, and are responsible for those access decisions.
- You must provide accurate account and billing information and keep it current.
4. Subscriptions, trials, and billing
- The Service is sold on a per-seat, per-month subscription. Current pricing is published at riparian.ai.
- New organizations receive a free trial period as described at signup. A payment card is required at signup; you will not be charged until the trial ends, and you may cancel before then at no cost.
- Subscriptions renew automatically each billing period until canceled. Seats can be added or removed in-app; changes are reflected in subsequent billing per the in-app billing terms.
- Payments are processed by Stripe. Invoice/purchase-order billing is available for organizations that cannot pay by card.
- Certain AI features are metered in credits, with a monthly included allowance and flat per-action rates shown in-app. AI runs that produce no output are automatically refunded as credits.
- Except where required by law or expressly stated otherwise, fees are non-refundable. Prices may change with notice; changes take effect at your next renewal.
5. AI features
- The Riparian AI assistant operates only over data your user account is permitted to see, and its write actions ("Cowork" and task agents) produce changes that require human review or approval as described in the product.
- AI output can be wrong. AI-generated review findings, part matches, autofilled specifications, and chat answers are suggestions, not engineering sign-off. You are responsible for reviewing and validating all AI output before relying on it.
- Your workspace content is not used to train AI models. AI requests are processed by our model provider (currently Anthropic) as a subprocessor under contractual confidentiality — see our Privacy Policy.
6. Your content
- You retain all rights to the content you upload or create in the Service — design files, documents, wiki pages, tasks, BOM data, and everything else ("Customer Content").
- You grant Riparian a limited license to host, process, display, and transmit Customer Content solely to provide and support the Service. We claim no other rights to it.
- You are responsible for your Customer Content, including having the rights to upload it and ensuring it does not violate law or third-party rights. If your designs are subject to export-control or similar regulations, you are responsible for determining whether the Service is an appropriate place for them.
- Within your organization, content visibility is controlled by organization and project membership, which your admins manage.
7. Acceptable use
You agree not to:
- use the Service to violate any law or third-party right;
- probe, breach, or circumvent security or authentication measures, or access data or accounts you are not authorized to access;
- interfere with the Service's operation, including load attacks or introducing malware;
- reverse engineer, resell, or provide the Service to third parties as a service bureau, or use it to build a competing product;
- abuse metered AI features in ways designed to evade metering;
- misrepresent your identity or affiliation.
We may suspend or terminate accounts that violate this section, with notice where practicable.
8. Riparian's intellectual property; feedback
The Service, including its software, design, parts catalog data, and documentation, is owned by Riparian and its licensors and is protected by intellectual-property law. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. If you send us feedback or suggestions, we may use them without obligation to you.
9. Third-party services
The Service depends on third-party providers (hosting, payments, email delivery, AI models, analytics). Their availability affects ours. Where you interact with a third party directly — for example, Stripe's payment forms — that third party's terms also apply to that interaction.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
Engineering responsibility. Riparian displays, cross-checks, and reports on design data to assist your team, but it does not verify that a design is correct, safe, manufacturable, or fit for any purpose. Design-rule checks, readiness panels, and cross-check warnings are aids, not guarantees, and may produce false positives or miss issues. All engineering decisions — including releasing a design to manufacturing — are yours, and you are responsible for independently verifying designs, BOMs, and build documentation before acting on them.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY; AND (b) RIPARIAN'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. FOR THE AVOIDANCE OF DOUBT, RIPARIAN IS NOT LIABLE FOR COSTS OF FABRICATION, ASSEMBLY, RE-SPINS, SCRAP, OR RECALLS ARISING FROM DESIGNS OR DOCUMENTATION MANAGED IN THE SERVICE.
12. Indemnification
You will defend and indemnify Riparian against third-party claims arising from your Customer Content or your use of the Service in violation of these Terms or applicable law.
13. Term, cancellation, and termination
- You may cancel your subscription at any time in-app; cancellation takes effect at the end of the current billing period.
- We may suspend or terminate the Service for material breach of these Terms, or with notice if we discontinue the Service.
- After termination or account closure, we will make Customer Content available for export for a reasonable period on request, after which it will be deleted per our retention practices described in the Privacy Policy. Standard export tools (such as BOM CSV export and release packages) are available in-app at all times.
14. Changes to the Service or these Terms
We may update these Terms from time to time. For material changes we will give notice (for example, by email or in-app) before they take effect; continued use after the effective date constitutes acceptance. The "Last updated" date above reflects the current version.
15. Governing law and disputes
These Terms are governed by the laws of the State of Texas, excluding its conflict-of-laws rules. The state and federal courts located in Texas will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, and each party consents to venue there. Each party waives any right to a jury trial to the extent permitted by law.
16. Miscellaneous
These Terms, together with the Privacy Policy and any in-app ordering terms, are the entire agreement between you and Riparian regarding the Service. If any provision is unenforceable, the rest remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
